Vodafone may sell minority assets after investor pressure

first_imgThursday 9 September 2010 8:38 pm VODAFONE, the world’s largest mobile operator by revenue, is to simplify its structure following a drive to overhaul its portfolio after investor complaints.The company had said in July it would reconsider its strategy and look to “maximise shareholder value”, with analysts expecting it to seek to sell certain minority-owned assets. Vodafone, which this week sold its 3.2 per cent stake in China Mobile for $6.5bn (£4.2bn), said yesterday it would cut its operating regions to two from three and hold outside the regional structure its main minority stakes in other operators.Its stakes in US operator Verizon Wireless, France’s SFR, Polkomtel in Poland and India’s Bharti would now be held separately, it said, but added that this did not mean it had decided what to do with these assets.Vodafone said from 1 October it would remove management layers and have two operating regions compared with the three it has previously used. Europe will comprise one unit and Africa, Middle East and Asia Pacific the other.Chief executive Vittorio Colao and his finance director will work together to maximise value from minority investments including Verizon Wireless, SFR, Polkomtel and Bharti Holding, the company said. Third-quarter earnings were up 64 per cent year-on-year to €153m (£133.7m). They currently require increasing levels of financial support from the parent company, currently around £43m a year, and yesterday Peel Hunt analyst Paul Hickman said Punch would do best for shareholders by walking away from its commitment.Hickman said: “It is quite clear that the bond structure that finances most of the tenancies is unsustainable.“It is now crucial that a clear solution is imposed. Having considered alternatives, we believe the preferable outcome is to allow the A and B securitisations to default.“We believe shareholders should use their influence to press for this outcome. Once this issue is resolved, the value in Spirit and group assets, which we put at 91p, will be apparent.”Punch chief executive Ian Dyson is currently undertaking a review with the objective of exploring options “to create value for our shareholders”.Yesterday Punch said it was considering all its options, which appear to include some form of debt write-off on behalf of the bondholders. Sources close to the company said it was unlikely there would be a conclusion to Dyson’s review before February.Dyson is being advised by Goldman Sachs, with Anthony Gutman leading the team, and Citigroup. Blackstone is also advising on its capital structure.Hickman acknowledged that a default by Punch “would be tricky from the bondholder institutions’ point of view” and would make it tricky for the group to raise further bonds.But Hickman said it was crucial for the group to make the move so that it would focus minds on the value of the group’s other assets and especially its Spirit estate.“Continuation of the present A and B bond structures is not an option. They would need increasing levels of financial support, currently £43m per annum, and equity shareholders would not be well served by the medium-term drain on value.” Shares in Punch Taverns rose 6.62 per cent to 69.25p on the back of Hickman’s comments and talk that the group could attract a bid. Fed turns record profits over to US Treasury

first_img THE US Federal Reserve has reported its earnings jumped by more than 50 per cent to a record $80.9bn (£52bn) on its massive holdings of securities in 2010 and it will turn the bulk of it over to the US Treasury.The $78.4bn the Fed is remitting is also a record, and is $31bn more than a year earlier. In 2009 the Fed had net income of $53.4bn.The Fed’s portfolio has ballooned to $2.16trn, roughly triple its size before the financial crisis, as it purchased securities including US government debt and mortgage-linked bonds in a move to drive down borrowing costs and stimulate the economy.“The increase was due primarily to increased interest income earned on securities holdings during 2010,” the US central bank said in releasing preliminary unaudited results. Audited results will be issued in the spring and may show some changes, Fed officials indicated.After driving overnight interest rates close to zero per cent in December 2008, the Fed bought $1.7trn of longer-term Treasury and mortgage-related bonds as a supplement to its pledge to keep overnight rates near zero for a long time.It followed that up late last year with a new $600bn bond-buying programme, again intended to spur growth by pumping liquidity into the economy. That programme ends mid-year.The Fed turns over profits to the Treasury annually and has never posted a loss. UK could face £1bn EU fines

first_img A SERIES of catastrophic failures has left Britain facing up to £1bn in fines related to its handling of the European Union agricultural scheme, in which EU funds are given to member states to support their farming industries.The National Audit Office (NAO), which signs off on financial statements compiled by the finance ministry, said yesterday the scale of the fines meant it could not sign off on the finance ministry’s statement on the use of EU funds.The Treasury’s statement on the use of EU funds in the 2008-2009 financial year highlights £398m of confirmed “corrections” – a fine the EU imposes by withholding money – giving reduced funds to Britain in future — and a provision for further possible corrections of £601m. The fines “represent huge past costs and potential future costs to the taxpayer of implementing EU schemes in the UK,” Amyas Morse, the auditor general, said in an unusually blunt assessment. Official statements from the Treasury and other Whitehall departments from that period cannot yet be seen as “a true and fair report of the use of EU funds in the UK,” he said. The blame for the waste of money is largely being laid at the door of the Department for Environment, Food and Rural Affairs which oversees EU subsidies.
